Terms of Service

Effective Date: July 10, 2026

These Terms of Service ("Terms") cover your use of illinoisregisteredagent.co (the "Site") and the registered agent services ("Services") supplied by Illinois Registered Agent.co ("we," "us," "our"). Using the Site or buying Services means you're agreeing to these Terms.

1. What's Included

Illinois Registered Agent.co provides:

• A physical Illinois street address that satisfies the state's registered office requirement
• Acceptance of service of process and Secretary of State correspondence during normal business hours
• Same-day scanning and email delivery of documents received at that address
• Deadline alerts ahead of your Illinois annual report due date
• A secure online portal for document access and storage

We are not a law firm, and nothing here constitutes legal, tax, or accounting advice.

2. Who Can Use This

You must be 18 or older with authority to act for the entity you're enrolling. Information you give us at signup needs to be accurate, and you're responsible for keeping it current.

3. What It Costs

• $99 per year, billed at enrollment and on each annual renewal
• Accepted payment methods appear at checkout
• A failed charge triggers a notice from us, and Services may pause until it's resolved
• We'll give at least 30 days' notice before any price change takes effect on your renewal

4. Term and Renewal

Your term starts the day you enroll and runs twelve months. It renews automatically at the prevailing rate unless you cancel first.

5. What You're Responsible For

• Keeping your entity information with us accurate and current
• Telling us promptly if your entity's name, status, or contact details change
• Checking your dashboard and acting on scanned documents within a reasonable window
• Staying in good standing with the Illinois Secretary of State
• Filing the correct designation naming us as your registered agent

6. How We Handle Documents

• Documents are accepted Monday through Friday, 9 AM to 5 PM Central Time, excluding Illinois state holidays
• We scan and deliver electronically the same business day in the vast majority of cases
• We take no responsibility for the content or legal consequences of anything delivered to us
• Mailing you the physical original is available on request for a separate per-piece charge — it is not part of the $99/year fee
• Physical originals are retained for a limited period after scanning, then securely destroyed

7. No Legal or Tax Advice

We're a document and compliance service, not attorneys or accountants. We don't offer legal opinions, tax guidance, or entity-formation counsel. For anything in those categories, talk to a licensed professional.

8. Limits on Our Liability

To the extent the law allows:

• Our total liability is capped at what you paid us in the 12 months before a claim
• We're not liable for indirect, incidental, special, consequential, or punitive damages
• We're not liable if you fail to act on documents we've scanned and delivered to you
• We're not liable for delays caused by events outside our reasonable control

9. You Indemnify Us

You agree to defend and hold Illinois Registered Agent.co, its owners, staff, and contractors harmless from third-party claims, losses, or expenses (attorney fees included) tied to your use of the Services or a breach of these Terms.

10. Cancelling

• Email support@illinoisregisteredagent.co to cancel
• Cancellation takes effect at the end of your paid term
• Refunds for unused time are at our discretion, not guaranteed
• After cancelling, you must name a replacement registered agent with the Illinois Secretary of State

11. When We Might Suspend or End Service

We can suspend or terminate if payment goes unresolved after notice, if the information you gave us turns out to be materially false, or if continuing would put us in violation of the law.

12. Governing Law

Illinois law governs these Terms, and any dispute is resolved in Illinois courts. You agree to that jurisdiction.

13. Changes to These Terms

We may update these Terms from time to time. Updates post here with a new effective date, and continuing to use the Site afterward means you accept them.

14. Severability

If a court finds part of these Terms unenforceable, the rest keeps working as written.

15. The Whole Agreement

These Terms plus our Privacy Policy make up the full agreement between you and Illinois Registered Agent.co regarding the Services.
