What is a registered agent supposed to do in Illinois?
A registered agent accepts legal documents (lawsuits, subpoenas, court orders) and official state correspondence on behalf of your business entity. They maintain a physical street address in Illinois and must be present there during normal business hours so documents can always be delivered reliably.
What are the qualifications for an Illinois registered agent?
Individual agents must be over 18 and Illinois residents. Entity agents must be authorized to do business in the state. Illinois has a unique requirement: the registered office and the agent's business office must be the same location — meaning the agent must have a genuine physical presence at that address, not just a mail arrangement.
Can my business serve as its own registered agent?
No. Illinois does not allow a business entity to appoint itself as its own agent. You as an individual can serve for your company, but the company itself cannot fill the role.
What does it cost to change my registered agent?
Illinois charges $25 if you file the change by mail, or $75 if you file online. This fee goes to the Secretary of State. Our service costs $99/year starting from when you enroll with us.
When is the Illinois annual report due?
Before the first day of your LLC's anniversary month each year. So if you formed your LLC on March 15, your annual report must be filed before March 1 of the following year. The filing fee is $75, and filing late adds a $100 penalty.
What happens if I file my annual report late?
Illinois imposes a $100 penalty on top of the regular $75 fee — so you'd pay $175 instead of $75. Continued failure to file can lead to administrative dissolution, where your entity loses its legal standing entirely.

Does your service cover foreign-qualified entities?
Yes. If your business was formed elsewhere but is registered to do business in Illinois, you still need an Illinois registered agent. We serve both domestic and foreign entities for the same $99/year.
What is the Illinois replacement tax?
Illinois imposes a 1.5% replacement tax on partnership income for LLCs taxed as partnerships. This is a state tax obligation separate from your registered agent requirement, but tax-related notices may be delivered through your registered agent address.
What types of mail are outside the scope of your service?
Packages cannot be delivered here. Google Maps verification postcards, Amazon verification letters, and other third-party verification mailings are outside our service scope. This is a registered agent service in Illinois, not a virtual office or general mailbox.
